Partner Terms
Version 2026-09-05 · Effective September 5, 2026
The short version
We want this program to be simple.
Your organization’s first 50 trees are on us, and they never expire. After that, trees are $5.00 each, with volume pricing of $4.00 each when you plant 100–499 trees in a month and $3.50 each when you plant 500 or more. If we’ve agreed on custom pricing with you, the pricing shown in your Portal is your pricing.
We invoice once a month, only for trees planted beyond your free allowance. Invoices are due within 14 days. There is no subscription, no minimum commitment, and you can stop using the program at any time.
You can edit or remove a dedication until it is committed for planting. Once it has been planted, it cannot be cancelled or refunded, but we’ll always do our best to help fix certificate mistakes or resend an email.
You are responsible for the dedications submitted through your organization and for having the right to provide us with the recipient information needed to deliver each memorial.
We use pet owner information to provide the memorial tree service on your behalf. We do not sell it or use it for unrelated marketing.
The full Terms below are what you agree to. This summary is here to make them easier to understand, not to replace them.
1. Who this agreement is between
These Partner Terms (the “Terms”) are an agreement between Love, Baxter LLC (“Love, Baxter,” “we,” “us,” or “our”) and the veterinary practice, pet-care business, or other organization that uses the Love, Baxter Memorial Tree Portal at trees.lovebaxter.com (the “Portal”) to dedicate memorial trees (“Partner,” “you,” or “your”).
You accept these Terms by checking the acceptance box in the Portal or by dedicating a tree through the Portal, whichever comes first.
The person accepting these Terms confirms that they are authorized to do so on behalf of your organization. One acceptance covers your organization and the locations and team members using the Portal through your account.
If you do not have authority to accept these Terms or do not agree to them, please do not use the Portal.
2. What we do
The Portal lets your team dedicate memorial trees for the families you care for.
For each dedication, you may provide information such as the pet owner’s name and email address, the pet’s name, who the dedication is from, a short memorial message, and the number of trees.
Love, Baxter then arranges for the corresponding trees to be planted through our planting partners, creates a personalized digital certificate featuring your organization’s name and branding, and sends the certificate to the pet owner on your behalf.
The Portal also gives your organization a record of its dedications, planted forest, and estimated billing.
We will make reasonable efforts to deliver certificate emails successfully, but we cannot guarantee delivery to a particular inbox. Delivery may be affected by incorrect email addresses, spam filters, recipient settings, email providers, or other circumstances outside our control.
If an email cannot be delivered, that does not undo a tree that has already been planted. Where reasonably possible, we will help you correct an address and resend the certificate at no additional charge.
If your organization provides a reply-to email address, you authorize us to use it for certificate emails sent on your behalf. Replies from recipients may therefore be delivered directly to your organization.
3. Pricing
Your first 50 trees
Your organization’s first 50 trees are free, and the allowance does not expire.
The allowance applies once across the lifetime of your organization and does not reset each month or year. Unless we agree otherwise, commonly owned or managed locations and accounts are treated as one organization for purposes of the free-tree allowance. Creating additional locations, accounts, or profiles does not create additional free-tree allowances.
If we have agreed to a different free allowance with you, the allowance displayed in your Portal applies.
Pricing after your free trees
Our standard pricing is:
- Up to 99 trees planted in a calendar month: $5.00 per billable tree
- 100–499 trees planted in a calendar month: $4.00 per billable tree
- 500 or more trees planted in a calendar month: $3.50 per billable tree
Monthly volume is measured using calendar months in UTC.
Your pricing tier is based on the total number of trees planted for your organization during that month, including trees covered by your remaining free allowance. Once the monthly tier is determined, that rate applies to all billable trees planted during that month. The tiers are not graduated.
Free trees are always applied before you are billed.
Unless your Portal shows otherwise, free-tree allowances and monthly volume pricing are calculated across all locations associated with your organization.
Custom pricing
If Love, Baxter has agreed to custom pricing for your organization, the free allowance and rates displayed on the Billing card in your Portal are your agreed pricing and take precedence over the standard pricing above.
Taxes
Prices do not include sales, use, or similar taxes. If we are required to collect them, they will be added to your invoice.
No subscription or minimum
There is no subscription and no minimum number of trees you are required to dedicate. You pay only for billable trees that are planted.
4. Billing and payment
Monthly invoices
Shortly after each calendar month ends, we will invoice your organization for the billable trees planted during that month.
Invoices are sent to the billing or contact email associated with your organization.
If you have no billable trees during a month, there is no invoice.
Payment
Invoices are due within 14 days of the invoice date and may be paid using the payment methods offered on the invoice, which may include ACH or card.
Late payments
Amounts that remain unpaid after the due date may accrue interest at 1.5% per month or the maximum rate permitted by law, whichever is lower.
If collection becomes necessary, you are responsible for reasonable collection costs, including reasonable attorneys’ fees.
Pausing an account
If an invoice remains unpaid for more than 14 days after its due date, we may temporarily pause new planting for your organization until the account is current.
Any pending dedications will be held rather than deleted.
Questions about an invoice
If something on an invoice does not look right, please tell us in writing within 14 days of the invoice date. We will review it with you promptly and work in good faith to resolve the issue.
Any portion of the invoice that is not disputed remains due on time.
Your running estimate
The Billing card in your Portal is provided as a convenience and shows information such as your current tree count, available free trees, applicable pricing, and estimated invoice.
Because it is a running estimate, it may not reflect corrections, taxes, credits, or other adjustments. Your final invoice is the official billing record. If there is a discrepancy, we will work with you in good faith to correct it.
5. Dedications and when they become final
You can edit or remove a pending dedication through the Portal at no charge until it has been committed for planting.
For purposes of these Terms, a tree is considered “planted” when Love, Baxter has committed the dedication to a planting project and funded, purchased, or otherwise committed the resources required for the corresponding number of trees to be planted.
Trees may be planted in groups as part of larger reforestation projects and are not individually tagged to a specific dedication.
Once a dedication is planted, it cannot be cancelled, refunded, or credited. This includes situations involving duplicate submissions, incorrect recipient email addresses, typos, or changes of mind.
We understand that mistakes happen. Where reasonably possible, we will help correct certificate text or resend a certificate email at no additional charge.
If Love, Baxter is ultimately unable to arrange planting for a tree you have paid for, we will either arrange an equivalent replacement planting or provide an appropriate credit or refund for that tree.
We may hold, review, reject, or cancel a dedication before planting if we reasonably believe it was submitted by mistake, is fraudulent or unauthorized, violates these Terms, or appears unusually large or inconsistent with your organization’s normal activity.
6. Your responsibilities
We ask you to:
- Provide accurate information for each dedication and, when possible, check the recipient’s email address and pet’s name before submitting it.
- Have the rights, permissions, consents, or other lawful basis required to provide recipient information to Love, Baxter and authorize us to deliver the memorial certificate on your behalf.
- Comply with the privacy, communications, and other laws that apply to your organization’s use of client information.
- Use the Portal for genuine pet memorial dedications rather than marketing messages, unrelated communications, or test submissions using real recipient information.
- Make sure dedication content is appropriate to share with the intended recipient and through the certificate’s shareable link.
- Avoid submitting content that is unlawful, threatening, harassing, misleading, or unrelated to memorializing an animal.
- Avoid including sensitive personal information, medical information, payment information, passwords, or other confidential information in dedication messages.
- Take reasonable steps to protect access to your organization’s Portal account.
Your organization is responsible for activity conducted through accounts or sign-in methods authorized for your organization, except to the extent the activity results from a security failure for which Love, Baxter is responsible.
If someone leaves your team, you believe someone has gained unauthorized access, or something simply does not look right, please contact us promptly at adam@lovebaxter.com so we can help secure the account.
7. Your brand and our brand
You give Love, Baxter a non-exclusive license to use your organization’s name, logo, and applicable contact or reply-to information as necessary to provide the memorial tree service, including on certificates, emails, and Portal pages associated with your dedications.
You confirm that you have the right to provide these materials to us.
Unless you ask us not to, you also give us permission to identify your organization by name and logo as a Love, Baxter memorial tree partner on our website and related materials.
If you would prefer not to be included, just let us know. Organizations with specific brand-usage requirements may also contact us at any time about how their name or logo is displayed.
Certificates and memorial emails may include Love, Baxter branding or attribution alongside your organization’s branding.
These permissions continue as reasonably necessary for certificates that have already been issued, even after you stop using the Portal.
8. About the trees
For every tree dedicated through the Portal, Love, Baxter funds or arranges the planting of at least one tree through our reforestation partners.
Our current program supports mangrove planting along the Kenyan coastline. Planting locations, projects, partners, and tree species may change over time as projects evolve.
A dedication supports trees within a larger planting project. Individual trees are not tagged, individually assigned to a recipient, or tracked one by one.
Planting locations, GPS coordinates, species, and dates shown on certificates describe the applicable planting project and may be approximate.
Trees are living things, and no reforestation program can guarantee the survival of every individual tree. We therefore do not guarantee the survival of a particular tree. Our planting partners manage their projects according to their own planting, maintenance, restoration, and replanting practices.
Memorial certificates are commemorative. They are not carbon credits, securities, ownership interests in trees or land, or receipts for charitable donations.
Love, Baxter LLC is a for-profit company. Payments for memorial tree services are payments for services and, unless we expressly state otherwise, are not charitable contributions or represented by Love, Baxter as tax-deductible.
9. Certificates and shareable links
Each memorial certificate receives a unique link that the recipient can keep and share.
Certificate links are intended to be shareable. Anyone who receives or is given a certificate link may be able to view the information displayed on that certificate.
For that reason, please do not include confidential, sensitive, or private information in a dedication message that should not be seen by someone with access to the certificate link.
Certificate pages are commemorative and are not intended to serve as secure storage for confidential information.
We intend to keep issued certificate links available for as long as the memorial tree program operates, but we cannot promise perpetual availability.
10. Pet owner information and privacy
We know the information you entrust to us matters.
When you provide pet owner information through the Portal, Love, Baxter uses it to provide and operate the memorial tree service on your behalf. This may include creating and maintaining certificates, arranging planting, delivering and tracking certificate emails, providing customer support, preventing fraud or misuse, maintaining appropriate business and billing records, securing the service, and complying with applicable law.
We do not sell pet owner personal information.
We do not use pet owner information submitted through the Portal for unrelated marketing or cross-context behavioral advertising.
To the extent applicable privacy law treats Love, Baxter as a service provider, contractor, or processor acting on your behalf, Love, Baxter will process that personal information for the limited purposes described in these Terms and as otherwise permitted by applicable law.
Where required by applicable law, Love, Baxter will not sell or share personal information received from you through the Portal; retain, use, or disclose it outside the direct business relationship between Love, Baxter and your organization except as permitted by law; or combine it with personal information received from other sources except where permitted by law.
We will comply with applicable privacy-law obligations relating to personal information we process on your behalf and provide the level of privacy protection required of us by applicable law.
If we determine that we can no longer meet an applicable privacy obligation relating to that information, we will notify you where required by law.
Where applicable, your organization may take reasonable and appropriate steps to help ensure that personal information provided to us is used consistently with applicable privacy requirements and to stop and remediate unauthorized use.
We maintain reasonable administrative, technical, and organizational safeguards appropriate to the nature of the information we process.
You authorize Love, Baxter to use service providers and subprocessors as reasonably necessary to operate the memorial tree program, including providers supporting hosting, email delivery, payments, customer support, security, and tree planting. Where required, we will require appropriate data-protection obligations from providers that process personal information on our behalf.
If we become aware of a security incident involving personal information submitted through the Portal that requires notification under applicable law, we will notify affected Partners as required by law and reasonably cooperate with them in responding to the incident.
Your organization’s Portal data is kept logically separate from other partners’ Portal data.
You may ask us to export or delete pending, unplanted dedications. We may retain records relating to planted dedications as reasonably necessary to maintain certificates, administer the program, maintain billing and business records, resolve disputes, prevent fraud, and comply with law.
We may create and use aggregated or de-identified information about the program for reporting, research, service improvement, and communications, provided that the information does not reasonably identify a pet owner. We will not identify your organization in those materials unless permitted under these Terms or otherwise authorized by you.
Our Privacy Policy provides additional information about how Love, Baxter handles personal information and forms part of these Terms.
11. The Portal and changes to the service
We work hard to keep the Portal useful, reliable, and improving.
Like any online service, however, we cannot promise that it will always be available without interruption or error. The Portal and related services are provided on an “as-is” and “as-available” basis, subject to these Terms.
We may add, change, improve, or retire features over time.
We may also update these Terms as the program evolves. We will provide at least 14 days’ notice of material changes by email or through the Portal and at least 30 days’ notice before a price increase affecting your organization.
Price changes will never apply retroactively to trees already planted.
If you continue using the Portal after updated Terms take effect, you accept the updated Terms. If you do not agree with a change, you may stop using the Portal and ask us to close your account. You will owe nothing further except amounts already due for planted trees.
12. Events outside our control
Neither party is responsible for a delay or failure to perform caused by circumstances beyond its reasonable control.
These may include natural disasters, severe weather, fire, war, civil unrest, government actions, labor disruptions, internet or telecommunications failures, widespread service outages, or significant disruptions affecting third-party infrastructure or planting partners.
If something like this happens, we will make reasonable efforts to resume the affected service as soon as practical.
This section does not excuse payment for trees that were already planted.
13. Ending the relationship
Either of us may end this agreement at any time by written notice. Email is fine.
We may also suspend or end access to the Portal if invoices remain unpaid, the Portal is misused, there is suspected fraud or unauthorized activity, or your use of the service could reasonably harm pet owners, the memorial tree program, or Love, Baxter.
Ending the agreement does not cancel amounts already owed for planted trees.
Certificates already issued may remain available, and we will remove pending, unplanted dedications upon request unless we are legally required to retain them.
14. Disclaimers and limits on liability
Except for the promises expressly made in these Terms, the Portal and services are provided without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the fullest extent permitted by law, neither party will be liable to the other for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, or goodwill, arising from these Terms or the Portal.
To the fullest extent permitted by law, Love, Baxter’s total liability arising out of or relating to these Terms or the Portal will not exceed the amount your organization paid Love, Baxter during the 12 months before the event giving rise to the claim, or $100 if your organization paid nothing during that period.
Nothing in these Terms limits liability where applicable law does not allow it to be limited.
These limits do not affect your obligation to pay for trees already planted or either party’s indemnification obligations below.
15. Indemnification
Each of us is responsible for the things within our reasonable control.
You will defend and indemnify Love, Baxter against third-party claims, damages, and reasonable costs arising from:
- dedication information or content submitted by your organization;
- your authority or legal right to provide recipient information to us;
- your organization’s material breach of these Terms; or
- misuse of the Portal by someone using access authorized by your organization.
Love, Baxter will defend and indemnify your organization against third-party claims that the Portal itself infringes another party’s intellectual property rights.
An indemnified party must promptly notify the other party of a claim and reasonably cooperate in its defense.
The indemnifying party may control the defense and settlement of the claim, but may not agree to a settlement that admits wrongdoing by or imposes a non-monetary obligation on the indemnified party without that party’s consent.
16. General terms
Governing law and venue
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules.
Any dispute arising from these Terms will be brought in the state or federal courts located in Orange County, California, and each party consents to the jurisdiction and venue of those courts.
Entire agreement
These Terms, the pricing displayed in your Portal, and our Privacy Policy make up the agreement between us concerning the Portal and replace earlier discussions or proposals about the same service.
If Love, Baxter and your organization have signed a separate written agreement covering the same service, that agreement controls wherever it expressly conflicts with these Terms.
Electronic acceptance
Checking the acceptance box in the Portal constitutes your electronic acceptance of these Terms and has the same force as a handwritten signature.
We may maintain a record of who accepted the Terms, when they were accepted, and the version accepted.
Independent parties
Love, Baxter and your organization are independent contractors.
These Terms do not create a partnership, joint venture, agency, franchise, or employment relationship between us.
Assignment
You may not assign this agreement without our written consent.
Love, Baxter may assign this agreement in connection with a merger, acquisition, reorganization, sale of substantially all relevant assets, or transfer of the Love, Baxter memorial tree program.
Notices
Notices to Love, Baxter may be sent to adam@lovebaxter.com.
Notices to your organization may be sent to the contact or billing email associated with your Portal account. Please keep that information current.
Severability and waiver
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in effect.
If either party chooses not to enforce a provision on one occasion, that does not waive its right to enforce it later.
Terms that continue after the agreement ends
Provisions concerning amounts already owed, issued certificates, intellectual property and branding rights necessary to maintain issued certificates, retained records and privacy obligations, disclaimers, limitations of liability, indemnification, and dispute resolution will continue after this agreement ends to the extent reasonably necessary to give them effect.
17. Questions
We would much rather answer a question than surprise you.
If you have any questions about these Terms, your pricing, your account, or an invoice, email Adam at adam@lovebaxter.com.
