Partner Terms
Version 2026-09-04. Effective September 4, 2026.
The short version
- Your first 50 trees are on us, forever. After that, $5.00 a tree ($4.00 at 100 to 499 trees in a month, $3.50 at 500 or more). If we agreed on custom pricing, the rates shown in your portal are your rates.
- We invoice once a month, only for trees actually planted, and the invoice is due 14 days after we send it. No subscription, no minimum, cancel anytime.
- Once a tree is planted, it is planted. You can edit or remove a dedication until then, but planted trees cannot be cancelled or refunded.
- You are responsible for every dedication submitted under your organization, including having the pet owner’s permission to share their name and email with us.
The full terms below are what you agree to. The summary is here to make them easy to read, not to replace them.
1. Who this agreement is between
These Partner Terms (the “Terms”) are a binding agreement between Love, Baxter (“Love, Baxter,” “we,” “us,” or “our”) and the veterinary practice, pet-care business, or other organization that uses the Love, Baxter Memorial Tree Portal at trees.lovebaxter.com (the “Portal”) to dedicate memorial trees (“Partner,” “you,” or “your”).
You accept these Terms by checking the acceptance box in the Portal, or by dedicating a tree through the Portal, whichever comes first. The person who accepts confirms that they are authorized to bind your organization. If you do not have that authority, or you do not agree to these Terms, do not use the Portal. One acceptance covers your whole organization, including every location and every team member who signs in under it.
2. What we do
Through the Portal, your team submits memorial tree dedications for the families you care for: the pet owner’s name and email, the pet’s name, who the dedication is from, a short message, and the number of trees. For each dedication we plant the trees, create a certificate that carries your organization’s name and branding, and email that certificate to the pet owner on your behalf. The Portal shows the status of every dedication, your planted forest, and a running billing estimate at all times.
3. Pricing
- Free trees. Your first 50 trees, counted across the lifetime of your organization, are free. If we agreed on a different free allowance, the number shown in your Portal applies.
- Per-tree pricing after that. The rate for a month is set by the total number of trees your organization plants in that calendar month (measured in UTC): $5.00 per tree up to 99 trees, $4.00 per tree at 100 to 499 trees, and $3.50 per tree at 500 trees or more. Free trees are applied before any tree is billed.
- Custom pricing. If Love, Baxter has agreed to custom pricing for your organization, the free allowance and rates displayed on your Portal’s Billing card are your agreed terms and take precedence over the standard figures above.
- Taxes. Prices do not include sales or similar taxes. If any apply, they will be added to your invoice.
- No subscription, no minimum. You pay only for trees you plant beyond your free allowance.
4. Billing and payment
- Monthly invoice. Shortly after each calendar month ends, we invoice your organization for the billable trees planted in that month. The invoice is emailed to the billing or contact email on file for your organization. If a month has no billable trees, there is no invoice.
- Due date. Invoices are due within 14 days of the invoice date. You can pay by bank transfer (ACH) or card through the invoice.
- Late payment. Amounts not paid when due accrue interest at 1.5% per month, or the maximum rate permitted by law if lower, from the due date until paid. You are also responsible for our reasonable costs of collection, including reasonable attorneys’ fees.
- Pause for non-payment. If any invoice is more than 14 days past due, we may pause planting for your organization until the account is current. Dedications you have already submitted are held, not lost.
- Questions and disputes. If you believe an invoice is wrong, tell us in writing within 14 days of the invoice date and we will work it out with you promptly. Any undisputed portion remains due on time.
- Your running total. Your Portal’s Billing card shows trees planted this month, free trees applied, and the estimated invoice, computed by the same engine that produces the invoice.
5. Dedications are final once planted
You, and every person who signs in under your organization, are responsible for every dedication submitted through the Portal. Until a dedication is planted you can edit or remove it yourself in the Portal at no cost. Once a dedication is planted, real trees have been put in the ground and a certificate has been issued, so planted trees cannot be cancelled, refunded, or credited. This includes typos, duplicates, wrong recipient email addresses, and changes of mind. Where we can, we will help correct certificate text and resend a certificate email as a courtesy, at no charge.
6. Your responsibilities
- Provide accurate information for every dedication, and check the recipient’s email address and the pet’s name before submitting. They appear on the certificate exactly as entered.
- Have the right to share each pet owner’s name and email address with us, and their permission for us to email them the memorial certificate on your behalf. You are responsible for compliance with laws that apply to your use of client information, including privacy and email laws.
- Use the Portal only for genuine pet memorial dedications. No marketing sends, no test entries with real addresses, and no content in dedication messages that is unlawful, harassing, or unrelated to honoring an animal.
- Keep sign-in links private. Anyone who signs in with an email address linked to your organization can dedicate trees that your organization pays for. Tell us promptly at adam@lovebaxter.com if someone leaves your team or if you suspect unauthorized use, and we will remove their access.
7. Your brand, our brand
You give us a non-exclusive license to use your organization’s name, logo, and reply-to address on certificates, emails, and Portal pages connected to your dedications, for as long as you use the Portal and for certificates already issued. You confirm you have the rights to grant that license. We may identify your organization as a Love, Baxter partner by name and logo on our website and materials unless you ask us in writing not to. Certificates and emails carry Love, Baxter attribution alongside your branding.
8. About the trees
- Trees are planted through Love, Baxter’s reforestation partners in active planting projects. Today that means mangroves on the Kenyan coastline; planting sites and species may change as projects evolve. We plant at least the number of trees dedicated.
- Planting locations, GPS coordinates, species, and dates shown on certificates describe the planting project and may be approximate. Individual trees are not tagged or tracked one by one.
- Trees are living things. We do not guarantee that any particular tree survives, and our planting partners maintain and replant their sites as part of the projects we support.
- Certificates are commemorative. They are not carbon credits, securities, ownership interests in land or trees, or receipts for a charitable donation, and we make no claim that any payment is tax-deductible.
9. Certificates, data, and privacy
- Each certificate has a permanent link that the pet owner can keep and share. We keep certificate links live for as long as the program operates.
- We use pet owner information only to plant the trees, deliver the certificate, track that the email arrived, and support you. We do not sell personal information. Our Privacy Policy explains the details and forms part of these Terms.
- Your organization’s data is isolated from every other partner’s. You can ask us to export or delete your unplanted dedications at any time. Records of planted dedications are kept because they support live certificates and billing.
10. The service, and changes to it
We work hard to keep the Portal available and improving, and we may add, change, or retire features over time. The Portal is provided as-is, without a promise of uninterrupted availability. We may update these Terms. We will give you at least 14 days’ notice of material changes by email or a notice in the Portal, and at least 30 days’ notice of any price change. Price changes never apply to trees already planted. Continuing to use the Portal after a change takes effect means you accept it; if you do not, stop using the Portal and tell us, and we will close your account with nothing further owed beyond trees already planted.
11. Ending the relationship
Either of us can end this agreement at any time by written notice, and email is fine. We may also suspend or end your access if invoices go unpaid, if the Portal is misused, or if your use harms pet owners or Love, Baxter’s reputation. Ending the agreement does not cancel amounts already owed for planted trees, and certificates already issued stay live. We will remove your unplanted dedications on request.
12. Disclaimers and limits on liability
Except as expressly stated in these Terms, the Portal and our services are provided without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. To the fullest extent permitted by law, neither of us is liable to the other for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or goodwill, however caused. Love, Baxter’s total liability arising out of or relating to these Terms or the Portal will not exceed the amounts you paid us in the twelve months before the event giving rise to the claim, or one hundred dollars if you have paid nothing. These limits do not apply to your obligation to pay for planted trees or to either party’s indemnification obligations.
13. Indemnification
You will defend and indemnify Love, Baxter against claims, damages, and reasonable costs arising from dedications submitted under your organization (including the accuracy of recipient information, your authority to share it, and the content of dedication messages), your breach of these Terms, or misuse of the Portal by anyone signed in under your organization. We will defend and indemnify you against claims that the Portal itself infringes a third party’s intellectual property rights.
14. General
- Governing law and venue. These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules, and any dispute will be brought in the state or federal courts located in California. Each of us consents to that jurisdiction.
- Entire agreement. These Terms, the pricing shown in your Portal, and our Privacy Policy are the entire agreement between us about the Portal and replace earlier discussions and proposals about pricing or service, unless we have both signed a separate written agreement, in which case that agreement controls where the two conflict.
- Electronic acceptance. Checking the acceptance box in the Portal is your electronic signature and has the same force as a handwritten one. We keep a record of who accepted, when, and which version.
- Independent parties. We are independent contractors. Nothing here creates a partnership, joint venture, agency, or employment relationship.
- Assignment. You may not assign this agreement without our written consent. We may assign it to a successor to the Love, Baxter memorial tree program.
- Notices. Notices to us go to adam@lovebaxter.com. Notices to you go to the contact email on file for your organization, so please keep it current.
- Severability and waiver. If any part of these Terms is found unenforceable, the rest stays in effect. Not enforcing a term is not a waiver of it.
15. Questions
We would rather answer a question than surprise you. Email Adam at adam@lovebaxter.com about anything in these Terms, your pricing, or an invoice.
